As noted before, a group of WWE shareholders filed a lawsuit in November of 2023 against former TKO and WWE Executive Chairman Vince McMahon over claims that McMahon had engaged in a “sham sale process” for WWE’s sale to Endeavor. WWE directors and officers were ordered by the court earlier this month to turn over documents related to federal investigations into McMahon’s conduct. McMahon, WWE CCO Paul “Triple H” Levesque, WWE President Nick Khan, and others were recently accused of destroying evidence related to the lawsuit.
Post Wrestling’s John Pollock reported that Vice Chancellor Travis Laster ruled on Wednesday in favor of unsealing redacted information in the lawsuit concerning WWE’s merger deal in 2023.
Pollock reported that Wrestlenomics’ Brandon Thurston and Post Wrestling had filed a notice of challenge before the Chancery Court of Delaware this past December arguing that the redactions in various filings were overly broad concerning the financial offers among bidders.
Pollock also reported that KKR is one of the groups attached to the WWE sale process and acknowledged by the entity in a deposition. KKR reportedly has concealed the specifics of its bid arguing that the harm it would cause and its confidentiality outweigh the public interest. KKR also claimed that future bidders would be scared off if they had knowledge that the terms of their bid for WWE would become public.
Thurston reportedly had challenged the confidentiality arguing “the information KKR seeks to seal goes to the heart of the underlying action: whether WWE’s board conducted a fair and competitive sale process. KKR has not demonstrated particularized harm sufficient to overcome the strong public interest in access.” Thurston reportedly also argued that “KKR’s bid came with caveats regarding the participation of Vince McMahon in the transfer, and that is relevant to the public.”
Pollock reported that KKR would have to persuade the court that there was a “particularized harm” in revealing the information and showing tangible evidence to support its argument in keeping their bid sealed.
In his ruling, Vice Chancellor Laster agreed to protect the cell phone numbers of the parties in question.
Laster also denied KKR’s request for continued confidentiality of the bidding terms and stated that KKR had “failed to identify any particularized harm that would result from the information becoming public.” Laster also ruled that KKR’s argument for the harm it would cause was insufficient.
Pollock reported that while KKR had entered into a confidentiality agreement with WWE when the bidding process was underway, this agreement was not dispositive and they had understood that it could be subject to litigation.
Pollock also reported that the court had ordered the parties involved to file an updated public version of its documents and remove the prior redactions that KKR had sought to uphold.
