Fourth Lawsuit Filed Against Vince McMahon Over Issues About His Recent WWE Return

As noted before, WWE Executive Chairman Vince McMahon is currently facing three WWE shareholders lawsuits over issues involving his recent return to WWE and its Board of Directors.

Bloomberg Law reported that a fourth lawsuit against McMahon was filed on January 26th by WWE shareholder Dennis Palkon to the Delaware Chancery Court. This lawsuit was specifically filed against WWE and is asking for “internal files from WWE to investigate claims that McMahon “raped and sexually assaulted employees and contractors over the course of decades” and had paid around $15 million to keep the allegations against him a secret. This lawsuit also stated that “there are serious questions about how Vince McMahon obtained and delivered those funds to his victim.”

This lawsuit also claimed that McMahon’s actions in his return to WWE showed “a flagrant disregard for basic corporate governance norms” and that “the rules do not apply to him, Vince McMahon removed three independent directors and re-appointed himself, as well as two of his longtime cronies.” This lawsuit alleges that McMahon’s misconduct over his actions for his return were both “myriad and extremely serious.”

This lawsuit also stated that its primary goal is to get the documents requested that would show proof that McMahon had breached his fiduciary duties and would result in his barring from ever serving on WWE’s Board of Directors again.


WWE Facing Potential Additional Lawsuit Over Vince McMahon’s Return

WWE reportedly is currently facing another potential lawsuit over Vince McMahon’s recent return to the company.

PWInsider’s Mike Johnson reported that law firm Bronstein, Gewirtz & Grossman, LLC released an official statement this past Tuesday stating that they are currently investigating WWE over issues regarding McMahon’s recent return to the company’s Board of Directors.

This investigation was stated to be focusing on WWE had likely violated several federal securities laws over their handling of McMahon’s sexual abuse allegations and his settlement payments to keep his allegations a secret from WWE investors.

On June 15, 2022, The Wall Street Journal published an article entitled “WWE Board Probes Secret $3 Million Hush Pact by CEO Vince McMahon, Sources Say” which revealed that “[t]he board of World Wrestling Entertainment Inc. On this news, WWE’s stock price fell $2.31 per share, or 3.4%, to close at $64.87 per share on June 16, 2022. On July 22, 2022, Vince McMahon announced his retirement from WWE. Then, on July 25, 2022, WWE filed with the U.S. Securities and Exchange Commission a current report on Form 8-K which announced, among other things, that “[t]he Company has made a preliminary determination that certain payments that Vince McMahon agreed to make during the period from 2006 through 2022 (including amounts paid and payable in the future), and that were not recorded in the WWE consolidated financial statements, should have been recorded as expenses in the quarters in which those agreements were made (the ‘Unrecorded Expenses’)[,]” which “[a]s of the date hereof, the Company has identified Unrecorded Expenses totaling approximately $14.6 million.”

The report further announced that “the Company currently anticipates that it will revise its previously issued financial statements to record the Unrecorded Expenses in the applicable periods for the years ended December 31, 2019, 2020 and 2021, as well as the first quarter of 2022[.]” Finally the report also announced that “[t]he Company has also received, and may receive in the future, regulatory, investigative and enforcement inquiries, subpoenas or demands arising from, related to, or in connection with these matters.”
